General Terms and Conditions for Sale, Delivery, Service and Support
Parties
In these General Terms and Conditions, Lexit Group Norway AS is referred to as “Lexit”, and the contractual counterparty as the “Customer”. Collectively, Lexit and the Customer are referred to as the “Parties”, and individually as a “Party”.
Pricing and payment terms
The following pricing and payment terms apply to products and services unless otherwise specified in an offer or contract.
PRICES – If Lexit’s purchase price, including but not limited to changes in exchange rates or changes in product prices from the manufacturer, changes from the time of offer/agreement until the time of delivery, Lexit is entitled to adjust the price accordingly to reflect the change in cost and/or exchange rate. The reference exchange rate for any such adjustment shall be the exchange rate published by Norges Bank for NOK against the relevant currency. All stated prices are exclusive of VAT and any other applicable taxes, duties, or charges.
INVOICING – Lexit shall invoice the Customer when the product or service is deemed delivered.
Exceptions apply to software license fees and rental agreements, which are invoiced on a recurring basis, prepaid every 12 months. Costs for work performed are invoiced retrospectively unless otherwise agreed. In the case of new establishments, any agreed start-up fee and billable work incurred during the establishment phase shall be invoiced. Consulting services, support, and other assistance are invoiced continuously in arrears.
Unless otherwise agreed, the payment due date is 14 days from the invoice date. If the Customer fails to pay by the due date, Lexit is entitled to charge interest on overdue amounts in accordance with the Norwegian Act relating to Interest on Overdue Payments of 17 December 1976 No. 100 (the Late Payment Interest Act). Please note that the item(s) may be leased by Lexit Group AS and, in such cases, owned by the relevant financing company.
PRICE ADJUSTMENTS – Lexit reserves the right to adjust prices at any time if changes in public charges, including but not limited to customs duties, taxes, fees, or other regulatory requirements, result in increased costs for Lexit. This also includes changes in trade policy measures, including import restrictions, sanctions, or other regulations that directly or indirectly affect Lexit’s cost base or remuneration structure.
Price adjustments may be implemented both as a result of direct increases in Lexit’s procurement costs and due to other obligations affecting the company’s financial commitments. In addition, Lexit reserves the right to adjust prices annually with effect from 1 January. Lexit shall provide the Customer with written notice within a reasonable time prior to any price adjustment taking effect.
Travel and Accommodation Costs
Expenses, including travel and subsistence costs, shall be covered to the extent agreed. Travel and subsistence costs shall be specified separately and reimbursed in accordance with the applicable rates issued by the Norwegian Government unless otherwise agreed. Travel time shall be invoiced at the applicable rates unless otherwise agreed.
Delivery Terms
For delivery of goods, the applicable delivery terms are Incoterms 2020 DAP (Delivered at Place Unloaded) or EXW (Ex Works). DAP applies when Lexit arranges transportation, unless otherwise agreed, and governs the transfer of ownership and risk upon delivery (unloaded) of the goods to the agreed delivery address. EXW applies when the Customer is responsible for transportation.
Product Warranty
Unless otherwise agreed, the following warranty terms apply to the purchase of products from Lexit: General data and data capture products, including POS products: 12 months – Spare parts: 6 months – Batteries: 90 days. The warranty period runs from the delivery date, defined as the date the products are dispatched from Lexit to the Customer. Deviations may occur.
WARRANTY CONDITIONS – Products must be used in accordance with the product and usage specifications, including installation instructions. Services, such as software upgrades or additional functionality, must be performed by Lexit or another party appointed by Lexit. The product must not be exposed to external influences—electrical, mechanical, chemical, temperature-related, or otherwise – that are not explicitly specified in the product datasheet or the standards applicable to the product.
In the event of defects or deficiencies, the product may be submitted for warranty assessment. If the warranty claim is approved, the product will be repaired at no cost to the Customer. If repair is not economically viable or otherwise impractical, the product may be replaced. The Customer shall bear the cost of shipping the product to Lexit, and Lexit shall cover the return shipping to the Customer.
WARRANTY EXCLUSIONS – The warranty does not cover installation costs, transportation of new or defective equipment to be replaced, or travel or travel-related expenses. The warranty does not cover consequential costs arising from installation or removal of the product in the field. Such costs shall be borne by the Customer. The warranty shall lapse immediately if the Customer or a third party performs alterations, repairs, or modifications without prior written agreement from Lexit.
